    <env:contingut rdf:parseType="Literal">![CDATA[&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;En sessió ordinària de data 23 de febrer de 2023 el Ple municipal va adoptar acord pel qual es va aprovar la constitució de la “Fundació Llar de Calvià”, i es varen aprovar inicialment els seus estatuts reguladors.&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;Una vegada finalitzat el termini&amp;nbsp; d'exposició pública de l'expedient, i resoltes les al.legacions presentades, la corporació plenària en sessió celebrada el passat dia 27 de juliol de 2023, va adoptar&amp;nbsp; acord que en la seva part dispositiva és del següent tenor literal:&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="text-align:center"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="background-color:null"&gt;ACORD&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="background-color:null"&gt;PRIMER.-&lt;/span&gt;&lt;/strong&gt;&lt;span style="background-color:null"&gt; Estimar la recomanació de l'Institut Balear de la Dona pel que fa a la inclusió dels indicadors i les dades desagregades per sexe i, per tant, modificar&amp;nbsp; l'article 6 dels Estatuts de la Fundació Llar&amp;nbsp; de Calvià afegint un apartat 2º, amb els termes següents:&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;em&gt;&lt;span style="background-color:null"&gt;“2.&lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt; En l'elaboració de les estadístiques i estudis que es duguin a terme per a complir les finalitats de la Fundació, es recollirà la informació desagregada per sexe per tal d'inserir la perspectiva de gènere en els programes d'investigació i innovació científica en l'àmbit que ocupa la Fundació, així com per millorar la gestió dels centres, serveis i recursos destinats a persones majors i altres col.lectius destinataris.”&lt;/span&gt;&lt;/span&gt;&lt;/em&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="background-color:null"&gt;SEGON.-&lt;/span&gt;&lt;/strong&gt;&lt;span style="background-color:null"&gt;&amp;nbsp; Estimar la recomanació de L'institut Balear de la Dona pel que fa a la representació del Patronat i, per tant, modificar&amp;nbsp; l'article 13 dels Estatuts de la Fundació Llar&amp;nbsp; de Calvià afegint un apartat 5º, amb els termes següents:&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;em&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;“5. Es garantirà que el Patronat tingui una representació paritària, o en tot cas, una presència equilibrada de dones i homes.”&lt;/span&gt;&lt;/span&gt;&lt;/em&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="background-color:null"&gt;TERCER.&lt;/span&gt;&lt;/strong&gt;&lt;span style="background-color:null"&gt; Aprovar definitivament amb les modificacions assenyalades als punts anteriors els estatuts de la Fundació Llar de Calvià el text dels quals s'adjunta a la present proposta.&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="background-color:null"&gt;QUART.&lt;/span&gt;&lt;/strong&gt;&lt;span style="background-color:null"&gt;-Publicar l'acord d'aprovació definitiva i el text íntegre dels Estatuts de la Fundació Llar de Calvià al BOIB de les Illes Balears als efectes previnguts a l'article 103 de la Llei 20/2006 de 15 desembre municipal i de Règim Local de les Illes Balears en relació amb l'article 113 del mateix cos legal, i la resta de normativa de règim local.&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="background-color:null"&gt;CINQUÈ.-&lt;/span&gt;&lt;/strong&gt;&lt;span style="background-color:null"&gt; Facultar al batle per elevar a escriptura pública la constitució de la Fundació, que haurà d'incloure el contingut que indica l'article 10 de la Llei 50/2002, de 26 de desembre, de Fundacions.&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="background-color:null"&gt;SISÈ.-&lt;/span&gt;&lt;/strong&gt;&lt;span style="background-color:null"&gt; Donar trasllat de la Constitució de la Fundació al corresponent Registre de Fundacions perquè, de conformitat amb allò que s'ha fixat en l'article 4 de la Llei 50/2002, de 26 de desembre, de Fundacions, s'inscrigui la Fundació en dit Registre.”&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;Contra el present acord que esgota la via administrativa es pot interposar recurs contenciós administratiu davant la Sala del Contenciós Administratiu del Tribunal Superior de Justícia de les Illes Balears, en el termini&amp;nbsp; de dos mesos comptadors des de l'endemà de la publicació d'aquest acord al Butlletí Oficial de les Illes Balears, d'acord amb el que estableixen els articles 10 i 46 de la Llei 29/1998, reguladora de la jurisdicció contenciosa-administrativa.&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;Per altra banda, en compliment del que disposa&amp;nbsp; l'article 103 de la Llei 20/2006 de 15 desembre municipal i de Règim Local de les Illes Balears en relació amb l'article 113 del mateix cos legal, es publica el text íntegre dels Estatuts de la “Fundació Llar de Calvià”, als efectes de la seva entrada en vigor.&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;La Fundació Llar de Calvià és un organisme de titularitat pública de naturalesa institucional amb personificació privada, sense ànim de lucre, el patrimoni de la qual es troba afectat de manera duradora al compliment de les finalitats d'interès general que es detallen en l'article 6 d'aquests Estatuts.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 2&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Personalitat i capacitat&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Una vegada inscrita en el Registre Únic de Fundacions de les Illes Balears, la Fundació constituïda té personalitat jurídica pròpia i capacitat plena d'actuar; en conseqüència, pot dur a terme tots els actes necessaris per complir la finalitat per a la qual s'ha creat, amb subjecció al que estableix l'ordenament jurídic i als principis de legalitat, servei a l'interès general, eficàcia, eficiència, estabilitat i transparència. &lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;La Fundació es regeix per la Llei 50/2002, de 26 de desembre, de fundacions; pel Decret 61/2007, de 18 de maig, pel qual es regula el Registre Únic de Fundacions de la Comunitat Autònoma de les Illes Balears i de regulació de l'exercici del protectorat; per la Llei 40/2015 de règim jurídic del sector públic i per les altres disposicions legals vigents; per la voluntat de les persones fundadores manifestada en aquests Estatuts, i pels acords que el Patronat aprovi per interpretar-los i executar-los.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2.Règim de la Fundació com a mitjà propi instrumental de les administracions públiques i dels seus ens instrumentals&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;A. D'acord amb el que estableix l'article 32 i següents de la Llei 9/2017, de 8 de novembre, de contractes del sector públic, així com el articles relacionats de la Llei 40/2015 del règim jurídic del sector públic, la Fundació té el caràcter de mitjà propi de l'Ajuntament de Calvià i de la resta d'ens instrumentals de l'Ajuntament de Calvià, que hagin de ser considerats poders adjudicadors. De la mateixa manera, la Fundació por tenir el caràcter de mitjà propi d'altres administracions i poders adjudicadors no integrats en el sector públic de l'Ajuntament de Calvià, sempre que participin en la dotació de la Fundació.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;B. A aquest efecte, l'Ajuntament de Calvià o qualssevol de les entitats referides en l'apartat anterior pot encarregar a la Fundació l'execució de qualsevol actuació material relacionada amb qualsevol dels objectius continguts en l'article 6 d'aquests Estatuts, sense que, per la seva banda, la Fundació pugui participar en cap licitació de contractació pública establerta per aquesta administració o entitats instrumentals. La contraprestació a favor de la Fundació per raó dels encàrrecs de gestió que rebi d'aquests poders adjudicadors s'ha d'ajustar a les tarifes que aprovi l'Ajuntament de Calvià, les quals s'han de calcular segons els costs reals imputables a l'execució dels projectes, tot tenint en compte especialment la informació que, a aquest efecte, aporti la Fundació. En tot cas, les tarifes aplicables a cada encàrrec s'han d'aprovar amb anterioritat a la formalització dels actes o acords que contenguin els encàrrecs de gestió per mitjà d'una resolució de la persona titular de la conselleria competent en matèria d'afers socials.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 4&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Nacionalitat i domicili&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1. La Fundació que es crea té nacionalitat espanyola.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. El domicili de la Fundació és a la Plaça de les Collidores d'Oliva (1932), 1, 07184 Calvià.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;3. El Patronat pot promoure el canvi de domicili mitjançant la modificació estatutària oportuna, i ha de comunicar-ho immediatament al Protectorat en la manera que estableix la legislació vigent.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 5&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Àmbit d'actuació&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1. Les finalitats de la Fundació són aquestes:&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;a. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Col·laborar i prestar serveis amb les administracions públiques en el desenvolupament de plans, programes o projectes que tenen per objectiu l'atenció integral de les persones majors i altres col·lectius amb necessitats econòmiques i familiars.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;b. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Impulsar i desenvolupar programes d'investigació i innovació científica en el àmbit de les persones majors, la dependència, la discapacitat i de la salut mental.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;d. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Promocionar el desenvolupament dels recursos sociosanitaris mitjançant accions i programes propis o amb entitats concertades.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;e. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Aconseguir recursos per destinar-los a programes d'atenció, suport, investigació i innovació en matèria de&amp;nbsp; persones majors, dependència, &amp;nbsp;de discapacitat i de salut mental.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;f. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Dur a terme actuacions derivades de l'execució de la normativa vigent en matèria de promoció de l'autonomia personal i atenció als col·lectius, esmentats a l'apartat a).&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;g. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Qualsevol altra finalitat relacionada amb les esmentades que acordi el Patronat&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. En l'elaboració de les estadístiques i estudis que es duguin a terme per a complir les finalitats de la Fundació, es recollirà la informació desagregada per sexe per tal d'inserir la perspectiva de gènere en els programes d'investigació i innovació científica en l'àmbit que ocupa la Fundació, així com per millorar la gestió dels centres, serveis i recursos destinats a persones majors i altres col.lectius destinataris.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 7&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Activitats fundacionals&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Per assolir les seves finalitats, la Fundació pot dur a terme les activitats següents:&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;a. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Gestió i administració directa o indirecta de centres, recursos i serveis d'atenció a persones majors, persones amb dependència, persones amb discapacitat reconeguda i persones amb trastorn mental greu i prolongat, així com qualsevol altre col·lectiu derivat de les finalitats de l'article 6.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;b. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Promoció del coneixement de les tècniques i les experiències que afavoreixen la salut i la qualitat de vida dels grups beneficiaris.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;c. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;La gestió i la prestació dels serveis de competència de l'Ajuntament de Calvià que aquesta administració l'encomani, per atendre de forma integral les necessitats d'allotjament, manutenció i compte de les persones majors i resta de col·lectius abans enumerats. &lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;d. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;La gestió i la prestació dels serveis de competència de l'Ajuntament de Calvià&amp;nbsp; que aquesta administració l'encomani, per atendre les persones del municipi que manquin de mitjans econòmics i/o familiars , tant a través de la Residència de Persones Majors de Calvià, com els serveis de centre de dia, ajuda a domicili, menjar a domicili, neteja, oci i temps lliure, rehabilitació, i els demés que suposin una millora de la qualitat de vida de les persones necessitats. &lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;e. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;La promoció d'iniciatives empresarials relacionades amb la millora de la vida de les persones majors i necessitades. &lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;f. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&amp;nbsp;Qualssevol altres activitats anàlogues que contribueixin al compliment dels fins de la Fundació.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="background-color:null"&gt;Article 8&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Llibertat d'actuació&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;El Patronat té llibertat plena per determinar les activitats de la Fundació que tendeixin a aconseguir els objectius concrets més adequats o convenients en cada moment, a judici del Patronat i en el compliment de les seves finalitats.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 9&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Determinació de les persones beneficiàries&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;El Patronat ha d'elegir les persones beneficiàries dels seus recursos amb criteris d'imparcialitat i no-discriminació, d'entre les que tinguin les característiques per cada un dels programes, en funció dels encàrrecs de l'Ajuntament de Calvià.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 10&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Finalitat de les rendes i dels ingressos&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1.S'ha de destinar a complir les finalitats fundacionals almenys el 70% dels resultats de les explotacions econòmiques que es desenvolupin i dels ingressos que s'obtinguin per qualsevol altre concepte, una vegada deduïdes les despeses per obtenir-los. La resta s'ha de destinar a incrementar la dotació fundacional o les reserves, segons un acord del Patronat.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. La Fundació pot fer efectiva aquesta obligació en el període comprès entre l'inici de l'exercici en el qual s'obtinguin els resultats i els ingressos i els quatre anys següents al tancament d'aquest exercici.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;a. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;El Patronat, que és l'òrgan de govern i representació.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;b. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;El president o la presidenta, a qui correspon la màxima representació de la Fundació i presidir el Patronat.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;c. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;El vicepresident o vicepresidenta&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1. El Patronat està compost&amp;nbsp; per un mínim de sis membres i un màxim de nou, titulars i suplents.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. Són membres del Patronat:&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;- El batle o batlessa, o persona en qui delegui&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;- El regidor o regidora que tingui atribuïdes les competències en matèria de persones majors.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;- Un regidor o regidora de l'equip de govern municipal designat pel batle o batlessa.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;- 3 persones designades pel Ple de l'Ajuntament d'entre el personal tècnic que presta els seus serveis a l'Ajuntament.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;- Fins a 3 regidors o regidores designats pel Ple de l'Ajuntament.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;3. Han d'assistir a les sessions del patronat, en tasques d'assessorament técnic d'aquest, amb veu i sense vot, l'Interventor de l'Ajuntament, o la persona en que delegui i la directora o director gerent de la Fundació, o persona de la Fundació en que delegui.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;A proposta del President o Presidenta es podrà nomenar observadors per assistir a les reunions del Patronat.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;4. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;El secretari o la secretària és el secretari o secretària de l'Ajuntament.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;5. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Es garantirà que el Patronat tingui una representació paritària, o en tot cas, una presència equilibrada de dones i homes.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Els patrons&amp;nbsp; exerceixen les seves funcions durant el temps que duri la Corporació que els designi, sens perjudici que puguin continuar en el seu càrrec per a l'administració ordinària de la Fundació mentrestant es fa la renovació per la nova Corporació. El patrons podem ser reelegits per un nombre indefinit de vegades.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 15&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Nomenament i substitució de membres del Patronat&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1. El nomenament de membres electes és competència del Ple de l'Ajuntament de Calvià.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. El termini per cobrir les vacants és de dos mesos des que es produeixen.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 16&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Acceptació del càrrec de patró&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1. Els patrons comencen a exercir les seves funcions després d'haver acceptat expressament el càrrec en un document públic, en un document privat amb la signatura legitimada per un notari o mitjançant la compareixença realitzada amb aquesta finalitat al Registre Únic de Fundacions de la Comunitat Autònoma de les Illes Balears.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. També es pot acceptar el càrrec davant el Patronat mitjançant un certificat que expedeix el secretari o la secretària, amb la signatura legitimada notarialment.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;3. En qualsevol cas, l'acceptació s'ha de comunicar formalment al Protectorat i s'ha d'inscriure en el Registre Únic de Fundacions de la Comunitat Autònoma de les Illes Balears.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 17&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Cessament dels patrons&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1. El cessament dels membres del Patronat de la Fundació es produeix en els supòsits següents:&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;a. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Mort o declaració de mort, així com per extinció de la persona jurídica, en el seu cas.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;b. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Renúncia comunicada amb les formalitats oportunes.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;c. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Incapacitat, inhabilitació o incompatibilitat, d'acord amb el que estableix la llei.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;d. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Cessament en el càrrec per raó del qual varen ser nomenats membres del Patronat.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;e. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Finalització del termini del mandat pel qual varen ser nomenats.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;f. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Resolució judicial.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;g. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;A proposta del mateix òrgan que els va proposar.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. La renúncia es pot fer per qualsevol dels mitjans i els tràmits establerts per acceptar el càrrec de patró.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 18&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Facultats del Patronat&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1. La competència del Patronat abasta les incidències de tot el que concerneix el govern, la representació i l'administració de la Fundació, i també la interpretació i la modificació d'aquests Estatuts.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. Independentment de les funcions que li atorguen aquests Estatuts, i sense perjudici de sol·licitar al Protectorat les autoritzacions preceptives, són facultats del Patronat, a títol merament enunciatiu, entre d'altres, aquestes funcions:&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;a. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Exercir l'alta direcció, la inspecció, la vigilància i l'orientació de la tasca de la Fundació.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;b. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Interpretar els Estatuts fundacionals i executar-los amb els acords oportuns, si n'és el cas. També, adoptar acords sobre la seva modificació, sempre que resulti convenient per als interessos de la Fundació o per aconseguir les seves finalitats.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;c. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Acordar l'obertura i el tancament dels centres i les oficines a on duen a terme l'objecte social.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;d. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Nomenar apoderats i apoderades generals o especials, i atorgar els poders necessaris per dur-los a terme, i també per revocar-los.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;e. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Aprovar el pla d'actuació en el primer trimestre de l'exercici pressupostari corresponent; aprovar els pressuposts, com també les seves modificacions; i aprovar els comptes anuals i la liquidació dels pressuposts en els sis mesos següents al tancament de l'exercici.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;f. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Adoptar acords sobre la fusió, l'extinció i la liquidació de la Fundació en els casos que estableix la llei, amb l'autorització prèvia del Ple de l'Ajuntament de Calvià, en els casos previstos en la legislació vigent.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;g. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Acordar les mesures per a l'administració dels béns i els drets de la Fundació.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;h. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Fixar els criteris d'ordenació de pagaments i assignar en aquesta matèria les atribucions del gerent o de la gerent.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;a. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Autoritzar, disposar i ordenar els pagaments la competència dels quals no s'hagi atribuït a altres òrgans de la Fundació. &lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;j. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Contractar tot tipus d'operacions financeres i de crèdit a curt o llarg termini, d'acord amb la normativa que li sigui d'aplicació.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;k. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Delegar les seves facultats en un o més patrons, encara que no es poden delegar l'aprovació del pla d'actuació, els comptes anuals i els pressuposts; la modificació dels Estatuts; la fusió i la liquidació de la Fundació, i els actes que requereixen l'autorització del Protectorat.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;l. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Dissenyar la política del personal de la Fundació.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;m. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Aprovar reglaments de règim intern i nomenar el o la gerent de la Fundació. &lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;n. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Qualsevol altra facultat no atribuïda expressament a un altre òrgan de la Fundació.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 19&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Sessions del Patronat i convocatòria&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1. El Patronat s'ha de reunir totes les vegades que calguin per al bon funcionament de la Fundació i, com a mínim, tres vegades a l'any per aprovar el Pla d'actuació, l'avantprojecte de pressuposts i els comptes anuals . Correspon al president o a la presidenta disposar la convocatòria dels membres a les sessions del Patronat, a iniciativa pròpia o quan ho sol·liciti un terç dels membres.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. El secretari o la secretària ha de redactar la convocatòria de sessió i trametre-la a cada un dels membres, amb almenys cinc dies hàbils d'antelació a la data de la sessió. Ha d'utilitzar un mitjà que permeti deixar-ne constància de la recepció, preferiblement per mitjans electrònics. En la convocatòria cal indicar el lloc, el dia i l'hora de la sessió, i també l'ordre del dia dels assumptes dels quals s'ha de tractar. Les sessions es podran celebrar a distància, encarregant-se el Secretari de la Fundació de facilitar les comunicacions per poder realitzar les sessions a distància.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;3. No és necessari fer una convocatòria prèvia quan hi siguin presents tots els patrons i acordin per unanimitat tenir una sessió com a Patronat.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 20&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Manera de deliberar i de prendre els acords&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1. La sessió del Patronat queda constituïda vàlidament quan hi assisteixen, presents o representats, almenys la meitat més un dels membres, i sempre que hi estiguin presents almenys tres patrons. Per constituir vàlidament la sessió del Patronat, es requereix la presència del president o la presidenta, o, en el seu cas, vicepresident o vicepresidenta,&amp;nbsp; i&amp;nbsp; el secretari o la secretària.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. Els acords del Patronat són executius immediatament, i s'han d'aprovar per la majoria dels vots dels membres presents. El president o la presidenta disposa de vot de qualitat en els casos d'empat.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;3. No obstant això, es requereix el vot favorable de la majoria absoluta dels membres del Patronat per aprovar acords que es refereixin a aquests assumptes:&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;a. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;La reforma o la modificació dels Estatuts.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;b. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;El nomenament de nous càrrecs en el Patronat.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;c. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Els cessaments de càrrecs, amb causa legal o estatutària.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;d. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;L'alienació i el gravamen dels béns integrants del seu patrimoni.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;e. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;La fusió i l'extinció de la Fundació.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;4. El secretari o la secretària ha d'estendre acta de les sessions del Patronat,&amp;nbsp; i s'ha d'aprovar a la mateixa sessió o a la següent. Una vegada aprovada, s'ha de transcriure en el llibre d'actes corresponent i l'han de signar el secretari o la secretària i el president o la presidenta.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 21&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Obligacions del Patronat&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1. En la seva actuació, el Patronat s'ha d'ajustar a la legislació vigent i a la voluntat de les persones fundadores, manifestada en aquests Estatuts.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. Correspon al Patronat complir les finalitats fundacionals i administrar els béns i els drets que integren el patrimoni de la Fundació, i mantenir-ne plenament el rendiment i la utilitat.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;3. El Patronat ha de donar informació suficient sobre les finalitats i les activitats de la Fundació perquè les coneguin les persones beneficiàries i la resta de persones interessades. &lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 22&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Obligacions i responsabilitat dels patrons&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1. Entre d'altres, són obligacions dels patrons:&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Fer que es compleixin les finalitats de la Fundació.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Assistir a les sessions a què siguin convocats. No obstant això, un patró pot actuar en nom i representació d'un altre que l'hagi designat. Aquesta actuació és sempre per a actes concrets i ha d'ajustar-se a les instruccions que, si s'escau, el representant formuli per escrit.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Ocupar el càrrec amb la diligència d'un representant lleial.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Mantenir en bon estat de conservació i producció els béns i els valors de la Fundació.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;En les seves actuacions, complir el que determinen les disposicions legals vigents i aquests Estatuts.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. Els patrons han de respondre solidàriament davant la Fundació pels danys i els perjudicis que causin per actes contraris a la llei o als Estatuts o pels actes duits a terme sense la diligència amb què han d'ocupar el càrrec.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;3. Queden exempts de responsabilitat els patrons que hagin votat en contra de l'acord i els que provin que, sense haver intervingut per adoptar-los i executar-los, desconeixien que s'havien adoptat o, sabent-ho, hagin fet tot el possible per evitar el dany o que s'hagin oposat expressament a executar-los.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 23&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Caràcter gratuït del càrrec de patró&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1. Els patrons exerceixen el càrrec gratuïtament i en cap cas no poden percebre cap retribució ni dieta per exercir-ne les funcions.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. No obstant això, els patrons tenen dret que se'ls reemborsin les despeses, justificades degudament, que els ocasioni exercir les seves funcions.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;El president o la presidenta serà triat per i entre els membres del Patronat per majoria simple del seus membres. &lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Corresponen al president o a la presidenta del Patronat aquestes funcions:&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;a. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Exercir la representació de la Fundació en judici o fora de judici, sempre que el Patronat no l'hagi atorgada expressament a un altre membre.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;b. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Disposar la convocatòria de les sessions del patronat i fixar-ne l'ordre del dia.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;c. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Presidir les sessions i dirigir i moderar el desenvolupament dels debats, sotmetre a votació els acords i proclamar el resultat de les votacions.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;d. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Vetlar per l'execució correcta dels acords que adopti el Patronat.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;e. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Vetlar pel compliment de la llei i dels Estatuts.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;f. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Visar les actes de les sessions i els certificats dels acords del Patronat.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;g. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Prendre, en circumstàncies especials o per raons d'urgència, qualsevol decisió que correspongui al Patronat susceptible de delegació. Posteriorment, el president o la presidenta ha d'obtenir la ratificació dels actes realitzats en virtut d'aquesta facultat al Patronat.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;h. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Qualsevol altra facultat que legalment o estatutàriament se li atribueixi. &lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;El president o la presidenta pot delegar les seves funcions, en tot o en part, amb caràcter temporal o permanent, en el vicepresident o la vicepresidenta o en el o la gerent, excepte les que li hagi delegat el Patronat. No es poden delegar en la gerència la representació institucional de l'ens, la fixació de l'ordre del dia i la presidència i direcció de les sessions del Patronat.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 25&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;El vicepresident o la vicepresidenta&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;El vicepresident o la vicepresidenta serà triat per i entre els membres del Patronat per majoria simple del seus membres.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;En el supòsits d'absència o malaltia del president o de la presidenta, correspon al vicepresident o a la vicepresidenta exercir-ne les funcions. També pot actuar en representació de la Fundació en el supòsits en què el Patronat ho acordi.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 26&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;El secretari o la secretària&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1.Corresponen al secretari o la secretària del Patronat les funcions següents:&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;a. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Efectuar la convocatòria de les sessions per ordre del president o la presidenta, i les citacions als membres del Patronat.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;b. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Assistir a les sessions del Patronat, amb veu i sense vot, si no es membre del Patronat.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;c. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Conservar la documentació de la Fundació, preparar el despatx dels assumptes, redactar i autoritzar les actes de les sessions i reflectir degudament en el llibre d'actes del Patronat el desenvolupament de les sessions.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;d. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Expedir certificats dels acords que adopti el Patronat amb el vistiplau del president o la presidenta.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;e. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Rebre els actes de comunicació dels membres amb l'òrgan i, per tant, les notificacions, les peticions de dades, les rectificacions o qualsevol altra classe d'escrits de què hagi de tenir coneixement.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;f. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Qualsevol altra funció inherent al seu càrrec o que s'estableixi expressament en els Estatuts de la Fundació.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. En el cas d'absència, malaltia o vacant del secretari o de la secretària l'ha de substituir el gerent o la gerent de la Fundació.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1. El Patronat, a proposta del president o de la presidenta, ha de nomenar un gerent o una gerent, com a òrgan de direcció de la Fundació amb funcions de gestió. El procediment selectiu ha d'atendre als principis de mèrit i capacitat i a criteris d'idoneïtat. El nomenament del gerent o la gerent de la Fundació s'ha de comunicar al Ple de l'Ajuntament de Calvià.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. El gerent o la gerent ha de mantenir amb la Fundació una relació de naturalesa laboral, com a personal d'alta direcció, que es regeix per les clàusules estipulades en el contracte de treball corresponent i, supletòriament, per les disposicions vigents en matèria laboral. &lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;3. La retribució bruta anual del gerent o la gerent, l'ha d'aprovar el Patronat en el moment del nomenament, i abans de signar el contracte de treball. &lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;4. El gerent o la gerent, a més dels supòsits establerts en el contracte de treball corresponent i la normativa laboral aplicable, cessa automàticament quan es realitza el nomenament d'un nou gerent.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;5. La persona titular de la gerència no pot percebre en el moment del seu cessament cap indemnització, llevat de les que estiguin establertes per disposició legal de dret necessari. A aquest efecte, no es poden pactar o subscriure clàusules contractuals que tinguin per objecte reconèixer indemnitzacions o compensacions econòmiques, sigui quina sigui la seva naturalesa o quantia.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 28&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Funcions del gerent o la gerent&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1. Corresponen al gerent o la gerent les funcions següents:&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;a. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Establir, aprovar i fer complir les normes globals de funcionament intern de la Fundació, i les de cada una de les unitats organitzatives.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;b. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Elaborar i proposar al Patronat el projecte de pressupost anual de despeses i ingressos, i, si s'escau, les modificacions pressupostàries que hi hagi, com també formular els comptes anuals i la liquidació dels pressuposts de l'any anterior.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;c. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Elaborar i proposar al Patronat el projecte del pla d'actuació en què quedin reflectits els objectius i les activitats que es prevegi desenvolupar durant l'exercici següent.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;d. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Administrar i gestionar amb caràcter ordinari el patrimoni de la Fundació, d'acord amb les lleis i les atribucions conferides pel Patronat, al qual n'ha de retre comptes, i mantenir degudament actualitzat l'inventari de béns.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;e. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Ordenar els pagaments i gestionar la tresoreria d'acord amb els criteris aprovats pel Patronat.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;f. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Ser l'òrgan de contractació, aprovant el plecs de condicions tècniques i administratives que han de regir la contractació, en tot tipus de contractes relacionats amb l'objecte i finalitats de la Fundació, sens perjudici de les autoritzacions prèvies que calguin respecte de la despesa corresponent, d'acord amb la lletra anterior.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;g. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Vigilar el compliment correcte dels principis i els criteris aplicables a la comptabilitat de la Fundació, i supervisar-la.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;h. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Proposar al Patronat el nomenament i la destitució dels càrrecs directius de la Fundació, en el seu cas.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;i. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Desenvolupar la política de personal dissenyada pel Patronat i, amb aquesta finalitat, concertar o resoldre relacions laborals, seleccionar el personal laboral, acordar les sancions i executar les actuacions que, en aquesta matèria, li siguin encomanades.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;j. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Exercir la direcció superior del personal al servei de la Fundació i mantenir les relacions amb els òrgan de representació del personal.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;k. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Informar regularment, i almenys trimestralment, el Patronat dels resultats de gestió, operatius i financers.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;l. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Exercir, per apoderament del president o la presidenta, les accions, les excepcions, els recursos i les reclamacions judicials i administratives necessàries en defensa dels drets i els interessos de la Fundació, de la qual cosa ha de donar compte al Patronat en la primera sessió que es faci.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;m.&amp;nbsp;&lt;span style="color:#000000"&gt;Qualsevol altra facultat que legalment o estatutàriament se li atribueixi.&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. El gerent o la gerent respon de les seves actuacions davant el Patronat de la Fundació amb independència i sense perjudici de qualssevol altres responsabilitats en què pugui incórrer.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 29&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Comissions específiques&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1. Per acord del Patronat es poden crear comissions específiques, de caràcter permanent o temporal, per tractar temes d'interès o rellevància o per assolir les funcions que expressament se li encomanin dins l'acord de creació.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. Aquestes comissions específiques poden estar formades per membres del Patronat o per persones alienes a aquest.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;3. Presideix les comissions la persona que designi el Patronat en l'acord de creació.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;El Patronat ha d'aprovar un reglament intern que ha de regular les àrees que es considerin més adequades a les característiques i les peculiaritats de la Fundació, l'estructura directiva que possibiliti la millor gestió i el bon funcionament d'aquesta, i l'existència, si s'escau, d'òrgans de suport a la direcció.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 31&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Personal&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

Tot el personal que treballi per a la Fundació ha de mantenir amb aquesta una relació de caràcter laboral, mitjançant la formalització del contracte de treball corresponent. No obstant, es podran adscriure a la plantilla de la Fundació funcionaris de l'Ajuntament de Calvià.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. El personal s'ha de seleccionar atenint-se als principis d'igualtat, mèrit, capacitat i publicitat.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;3. Donat que una de les activitats de la Fundació serà la gestió de la Residència de Persones Majors de Calvià i centre de dia, en el moment que se produeixi la assumpció d'aquestes activitats, la Fundació assumirà tot el personal de Llar de Calvià SA i quedarà subrogada en tots el drets i obligacions laborals i de Seguretat Social de Llar de Calvià SA.&amp;nbsp; &lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

El patrimoni de la Fundació pot estar integrat per tota classe de béns, drets i obligacions susceptibles de valoració econòmica que integrin la dotació i per aquells que adquireixi la Fundació amb posterioritat a la seva constitució, s'afectin o no a la dotació.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. Tots han de figurar a nom de la Fundació i constar en l'inventari, en el Registre de Fundacions de la Comunitat Autònoma de les Illes Balears i en els altres registres que corresponguin.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 33&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Dotació patrimonial de la Fundació&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;La dotació patrimonial de la Fundació està integrada per tots els béns i els drets que constitueixen la dotació inicial de la Fundació i pels que en el futur s'hi aportin amb aquest caràcter.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 34&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Finançament&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1.Per dur a terme les seves activitats, la Fundació es pot finançar amb els recursos econòmics següents:&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;a. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Els béns i drets que constitueixin el seu patrimoni.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;b. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;El productes i les rendes d'aquest patrimoni.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;c. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Els ingressos ordinaris i extraordinaris que estigui autoritzat a percebre, segons les disposicions per les quals es regeix.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;d. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Les transferències, corrents o de capital, que tingui assignades en els pressuposts de l'Ajuntament de Calvià o d'altres administracions o entitats públiques.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;e. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Les subvencions, corrents o de capital, que procedeixin de les administracions o entitats públiques.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;f. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Les donacions, els llegats i qualsevol altra aportació, dinerària o no dinerària, que pugui percebre d'entitats privades i de particulars.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;g. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Qualsevol altre recurs que se li pugui atribuir.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="background-color:null"&gt;Article 35&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Administració i disposició del patrimoni&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1. La gestió patrimonial de la Fundació s'ha de regir per la legislació aplicable a les fundacions, sense perjudici de l'aplicació dels principis generals d'eficàcia, eficiència i transparència.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. El Patronat està facultat per fer les variacions necessàries en la composició del patrimoni de la Fundació, de conformitat amb el que aconselli la conjuntura econòmica de cada moment, i sense perjudici de sol·licitar l'autorització oportuna o comunicar-ho degudament al Protectorat, d'acord amb el que estableixen la Llei 50/2002, de 26 de desembre, de fundacions, i la resta de normativa de desplegament.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 36&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Règim financer i pressupostari&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1. L'exercici econòmic ha de coincidir amb l'any natural.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. La Fundació ha de portar una comptabilitat ordenada i adequada. Ha d'ajustar la seva activitat i funcionament al que determina la normativa que l'hi es d'aplicació. Ha de dur un control comptable i de l'administració correcta dels bens a través de la gestió diària del gerent o la gerent, i el seguiment per part del Patrtonat.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;3. En la gestió economicofinancera, la Fundació s'ha de regir pels principis i els criteris generals que determina la normativa vigent i ha d'aplicar les normes específiques que es contenen en aquests Estatuts i les que, en relació amb les entitats que integren el sector públic fundacional, s'estableixen a la Llei 40/2015, del règim jurídic del sector públic.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 37&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Pla d'actuació, informe anual d'activitat, declaració de garantia de gestió i comptes anuals&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1.La Fundació ha d'elaborar, anualment, un pla d'actuacions que ha d'incloure els objectius prevists per a l'exercici, els seus indicadors, les línies d'actuació necessàries per aconseguir-los, un pla economicofinancer i les previsions relatives a recursos humans i tecnologies de la informació, tot això en el marc del pressupost aprovat per a l'entitat per al mateix exercici. Aquest pla l'ha d'aprovar el Patronat en el primer trimestre de l'exercici pressupostari corresponent, i s'ha de trametre al Protectorat i al Ple de l'Ajuntament de Calvià.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;En els tres últims mesos de cada exercici, la gerent o el gerent de la Fundació ha de presentar al Patronat, per la seva aprovació, els pressupostos corresponents a l'exercici següent, tot i&amp;nbsp; adjuntant una memòria explicativa.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. Simultàniament a l'aprovació dels comptes anuals, el gerent a la gerent ha de presentar al Patronat un informe anual d'activitat&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;L'informe anual d'activitat ha d'incloure les dades relatives a les actuacions desenvolupades, els objectius aconseguits en els termes dels indicadors prevists, com també el compliment de les previsions relatives al pla economicofinancer, els recursos humans i les tecnologies de la informació.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;3. El gerent o la gerent ha de formular els comptes anuals en el termini màxim de tres mesos comptadors des del tancament de l'exercici, que ha d'aprovar el Patronat en el termini de sis mesos des que s'hagi tancat l'exercici.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;4. Els comptes anuals, que comprenen el balanç, el compte de resultats i la memòria, formen una unitat, s'han de redactar amb claredat i han de mostrar la imatge fidel del patrimoni, de la situació financera i dels resultats de la Fundació. La memòria completa, amplia i comenta la informació continguda en el balanç i en el compte de resultats, i ha d'incloure un inventari dels elements patrimonials. A més, ha de comprendre les activitats fundacionals, els canvis en els òrgans de govern, direcció i representació, i el grau de compliment del pla d'actuació. Així mateix, s'hi han d'indicar els recursos emprats, d'on provenen i el nombre de persones beneficiàries en cada actuació realitzada, els convenis que s'hagin subscrit amb altres entitats per a aquestes finalitats i el grau de compliment de la finalitat de rendes i ingressos.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;5. Una vegada que el Patronat de la Fundació ha aprovat els comptes anuals, s'han de presentar al Protectorat en els deu dies hàbils comptadors a partir de la data d'aprovació, acompanyats d'un certificat de l'acord d'aprovació del Patronat en el qual figuri l'aplicació del resultat, que ha d'estendre el secretari o la secretària amb el vistiplau del president o la presidenta.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;El Protectorat ha d'examinar els comptes anuals i dipositar-los posteriorment en el Registre de Fundacions de la Comunitat Autònoma de les Illes Balears.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 38&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Contractació de serveis, subministraments, obres, consultories i assistències tècniques&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;L'actuació de la Fundació en matèria de contractació s'ha d'ajustar a les disposicions de la Llei 9/2017, de 8 de novembre, de contractes del sector públic, i les normes que la despleguen.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt; &lt;/p&gt;

&lt;p style="text-align:center"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Capítol VI&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Modificació, fusió i extinció&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 39&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Modificació de l'escriptura de constitució i dels estatuts&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1. Quan les circumstàncies que van presidir la constitució de la Fundació hagin variat de manera que aquesta no pugui actuar satisfactòriament d'acord amb els Estatuts en vigor, el Patronat ha d'acordar-ne la modificació.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. Les modificacions de l'escriptura de constitució de la Fundació s'han d'elevar, en tot cas i amb caràcter previ a la seva aprovació pel Patronat, al Ple de l'Ajuntament de Calvià perquè procedeixi a l'autorització prèvia, juntament, si s'escau, amb el pla d'actuació i l'estudi econòmic financer. &lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;3. Per acord del Patronat, es poden modificar aquests Estatuts sempre que resulti convenient per als interessos de la Fundació. Per dur a terme aquesta modificació s'ha d'aplicar el mateix règim establert per a la modificació de l'escriptura de constitució.&amp;nbsp;&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;5. Per adoptar els acords de modificació estatutària i de l'escriptura de constitució, és necessari el vot favorable de la majoria absoluta dels membres del Patronat.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;6. La modificació o la nova redacció dels Estatuts que hagi acordat el Patronat s'ha de comunicar al Protectorat perquè hi manifesti la seva oposició, únicament per raons de legalitat i mitjançant un acord motivat, o bé hi manifesti la seva no-oposició.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;La modificació ha de formalitzar-se en escriptura pública, s'ha d'inscriure en el Registre Únic de Fundacions de les Illes Balears i s'ha de publicar en el Butlletí Oficial de les Illes Balears.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 40&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Transformació i fusió&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1.La Fundació es pot fusionar amb altres fundacions i pot ser absorbida per altres ens de dret públic integrats en el sector públic de l'Ajuntament de Calvià. També es pot transformar en qualsevol altre tipus d'ens del sector públic. La fusió, l'absorció, la integració i la transformació de la Fundació no implica l'obertura del procediment de liquidació.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2.La proposta de fusió, absorció, integració o transformació de la Fundació s'ha d'elevar, en tot cas i amb caràcter previ que el Patronat l'aprovi, al Ple de l'Ajuntament de Calvià, perquè procedeixi a l'autorització prèvia.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;3.Fins que no es completi el procediment de fusió, absorció, integració o transformació de la Fundació, aquesta ha de continuar desenvolupant les activitats pròpies del seu objecte i finalitats. Una vegada completat tot el procediment, l'Ajuntament de Calvià o l'ens instrumental corresponent s'ha de subrogar en tots els drets i obligacions i en totes les relacions jurídiques de la Fundació i s'ha de cancel·lar l'assentament de la Fundació en el Registre de Fundacions de les Illes Balears.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 41&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Extinció de la Fundació&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;1. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;La Fundació s'extingeix per les causes i segons els procediments que estableix la legislació vigent.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;2. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Als efectes del que preveu l'article 31.e) de la Llei 50/2002, de 26 de desembre, de fundacions, la Fundació es pot extingir en cas que les activitats que desenvolupa d'acord amb aquests Estatuts passin a ser desenvolupades per l'Ajuntament de Calvià o per una altra entitat del sector públic de l'Ajuntament, de naturalesa fundacional o no. L'extinció per aquests motius pot tenir lloc tant en el cas en què la Fundació s'integri en l'Ajuntament o en un altre ens instrumental, d'acord amb el que preveu l'article anterior, com en el cas en què no tingui lloc la integració, supòsit en el qual la Fundació dissolta entra en període de liquidació.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="background-color:null"&gt;3. &lt;/span&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;L'extinció requereix acord previ del Ple de l'Ajuntament de Calvià.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;Article 42&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;&lt;span style="display:block; line-height:1.6; margin-bottom:0px; margin-top:0px"&gt; &lt;/span&gt;Liquidació i adjudicació de l'haver&lt;/span&gt;&lt;/span&gt;&lt;/strong&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;1. L'extinció de la Fundació determina l'obertura del procediment de liquidació, que ha de dur a terme el Patronat sota el control del Protectorat.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;span style="background-color:null"&gt;2. Els béns resultants de la liquidació s'han de destinar a fundacions o a altres institucions que persegueixin finalitats d'interès general anàlogues a les de la Fundació i que tinguin afectats els seus béns, fins i tot per al supòsit de la dissolució, a aconseguir aquestes finalitats. Aquestes finalitats, les ha de designar el Patronat en el moment oportú, d'acord amb el que ordeni la legislació vigent.&lt;/span&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;
