    <env:contingut rdf:parseType="Literal">![CDATA[&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;Ratificació de l’acord de dissolució i liquidació de la societat municipal “Son Servera Segle XXI, SAU”. Expedient número 3105/2018.&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;El Ple de l’Ajuntament de Son Servera, a la sessió ordinària de dia 15 de novembre de 2018, va adoptar l’acord que segueix:&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;“&lt;strong&gt;Primer- &lt;/strong&gt;Ratificar l’Acord adoptat per la Junta General d’Accionistes de la societat “Son Servera Segle XXI, SAU” (el Ple de la corporació) adoptat en la sessió extraordinària i urgent de dia 08 de novembre de 2018 i que diu literalment:&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-left:40px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;“&lt;strong&gt;Primer. Aprovació la dissolució i liquidació simultànies de la societat municipal “Son Servera Segle XXI, SAU&lt;/strong&gt;”.&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-left:40px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;Aprovar la dissolució i liquidació simultànies de la societat municipal “Son Servera Segle XXI, SAU” per tal de donar compliment a la Llei 27/2013 de racionalització i sostenibilitat de l’Administració Local, que modifica la Disposició addicional 9a número 2, de la Llei 7/1985, de 2 d’abril, reguladora de les bases del règim local.&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-left:40px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;strong&gt;Segon. Cessament dels membres del Consell d’Administració.&lt;/strong&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-left:40px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;Cessar i comunicar els seu cessament als membres del Consell d’Administració de la societat:&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;-Sr. FA FANG DONG HU, de nacionalitat espanyola, major d’edat, DNI 41708225W, i domicili al carrer Son Corb, 12 àtic, 07560 de Cala Millor, Illes Balears (Conseller).&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;-Sr. JOSE MIGUEL SERVERA LENO, de nacionalitat espanyola, major d’edat, DNI 18223023P, i domicili al carrer Doctor Servera 75, 07550 de Son Servera, Illes Balears (Conseller).&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:40px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;-Sr. ANTONI SERVERA SERVERA, de nacionalitat espanyola, major d’edat, DNI 18215386F, i domicili al camí del Port Nou s/n, 07550 de Son Servera, Illes Balears (Conseller Delegat i President del Consell d’Administració).&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-left:40px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;Es cessa igualment al Secretari no conseller, Sr. Miguel Nebot Mascaró, major d’edat, de nacionalitat espanyola, DNI 42991201S, i domicili al carrer Sant Antoni 10, 07550 de Son Servera, Illes Balears.&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-left:40px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;strong&gt;Tercer. Nomenament d’una Comissió Liquidadora.&lt;/strong&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-left:40px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;Nomenar liquidadors als membres del Consell d’Administració de la societat cessats, els quals formaran part d’una Comissió Liquidadora, que actuarà de la mateixa manera en que ho venia fent el Consell d’Administració:&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-left:40px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;Nomenar Secretari de la Comissió Liquidadora a en JOSE MIGUEL SERVERA LENO, de nacionalitat espanyola, major d’edat, DNI 18223023P, i domicili al carrer Doctor Servera 75, 07550 de Son Servera, Illes Balears.&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-left:40px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;Notificar als membres de la Comissió Liquidadora el seu nomenament i el deure de conservar els llibres de comerç la correspondència, la documentació i els justificants concernents al tràfic de la societat durant el termini de sis anys a comptar des de la data de cancel·lació de la societat.&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-left:40px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;strong&gt;Quart. &lt;p style="margin-left:40px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;em&gt;b) &lt;/em&gt;Aprovar l’informe de la societat sobre les operacions de liquidació, i el projecte de divisió entre els socis de l’actiu resultant conforme al balanç anterior, aprovant tanmateix la gestió dels mateixos.&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-left:40px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;em&gt;c) &lt;/em&gt;Assumpció per part de l’Ajuntament de Son Servera i en el seu cas, subrogació, en tots els drets i deures de la societat “Son Servera Segle XXI, S.AU, En Liquidació” inclosos aquells que puguin quedar pendents o inadvertits, atès que no existeixen béns que s’hagin de realitzar; i que els imports dels deutes que té la societat i que figuren a l’ informe de liquidació, es deixen dipositats al compte corrent obert a nom de la societat, per al seu pagament per part dels liquidadors en el moment oportú. &lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-left:40px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;En quant al deute que la societat té amb l’Ajuntament de Son Servera per import de 1.090.859,72 €, l’esmentat soci únic de la societat, es dona per saldat i pagat del deute que la societat manté amb ell. &lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-left:40px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;em&gt;d) &lt;/em&gt;Que, atès que després de la liquidació acordada, i no havent-hi deutes amb tercers, existeix haver social repartible entre els socis segons el balanç aprovat, procedeix efectuar el repartiment entre els socis, en aquest cas, al soci únic Ajuntament de Son Servera, en concepte de quota de liquidació i de la següent manera:&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:80px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;-Adjudicar a l’ Ajuntament de Son Servera i en concepte de quota de liquidació,&amp;nbsp;&lt;/span&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;el dret de crèdit contra la hisenda pública per IVA pendent de cobrament de&amp;nbsp;&lt;/span&gt;&lt;/span&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;3.915,30 €, Impost de Societats 16.007,59 € , i avançament nòmines per import de 2.166,59 €, i del saldo existent de 178.148,06 € en un compte corrent obert a nom de la societat. &lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-bottom:0px; margin-left:80px; margin-right:0px; margin-top:0px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;-Adjudicar a l’ Ajuntament de Son Servera, la finca registral 16.474, Inscrita al Registre de la Propietat de Manacor, així com les seves instal·lacions i mobiliari.&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-left:40px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;em&gt;e) &lt;/em&gt;Declarar la societat totalment liquidada i extingida i sol·licitar al Registrador Mercantil la cancel·lació de tots els assentaments relatius a la societat.&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-left:40px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;Cinquè. &lt;/strong&gt;Aprovació inicialment la modificació de la modalitat en la forma de prestació dels serveis d’informàtica, poliesportiu i escoleta que continuaran gestionant-se de forma directa, però per part de la pròpia entitat local.&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-left:40px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;Aprovar inicialment la modificació de la modalitat en la forma de prestació dels serveis d’informàtica, poliesportiu i escoleta que continuaran gestionant-se de forma directa, però per part de la pròpia entitat local.&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-left:40px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;strong&gt;Sisè. Informació Pública.&lt;/strong&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-left:40px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;Sotmetre els als anteriors acords a informació pública per un període de 30 dies mitjançant anuncis que es publicaran al Butlletí Oficial de les Illes Balears i al tauler d’anuncis de l’Ajuntament als efectes de presentació d’al·legacions.&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-left:40px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;&lt;strong&gt;Setè.- Atorgament de facultats per elevar a públic i inscriure els acords que es prenguin. &lt;/strong&gt;&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p style="margin-left:40px"&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;span style="color:black"&gt;Autoritzar al senyor Antoni Servera Servera, batle de l’Ajuntament de Son Servera, i President de la Comissió Liquidadora, perquè elevi a públic els acords adoptats atorgant la corresponent escriptura pública, facultar al mateix per a que inscrigui en els registres públics corresponents els acords adoptats i elevats a públic, així com aquells acords que d’acord amb la legislació vigent hagin de ser inscrits en algun Registre públic i per a realitzar qualsevulla actuació necessària per a la plena efectivitat dels presents acords.”&lt;/span&gt;&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;&lt;strong&gt;Segon- &lt;/strong&gt;Publicar el present acord al Butlletí Oficial de les Illes Balears.”&lt;/span&gt;&lt;/p&gt;

&lt;p&gt;&lt;span style="font-family:Times New Roman,Times,serif; font-size:12px"&gt;Per tot l’anterior i d’acord amb punt sisè de l’acord de la Junta General d’Accionistes de la societat “Son Servera Segle XXI, SAU”, s’exposa per un període de 30 dies, comptadors des de la publicació al Butlleti Oficial de les Illes Balears, &amp;nbsp;als efectes de presentació d’al·legacions. En el cas que no se’n presentin durant aquest període els acords s’elevaran a definitius mitjançant la &amp;nbsp;publicació al tauler d’anuncis de l’Ajuntament i al Butlleti Oficial de les Illes Balears, essent aquests plenament efectius.&lt;/span&gt;&lt;/p&gt;
